1.     Introduction

a.   About Solus: Solus is a simplified, low-risk, and socially engaging Crypto Derivatives Trading platform. Our mission is to democratize Crypto Derivatives Trading, making it accessible to all. Solus offers key features such as low fees, and a secure, decentralized platform built on the latest blockchain technology, focusing on derivatives products such as perpetual futures and options.

b.   Acceptance of Terms: By registering for a Solus Account, accessing or using the Solus website, mobile app, API, or any other services provided by Solus (collectively referred to as “Services”), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions (“Terms”) along with any additional documents or policies with any additional documents or policies referenced herein. If you do not agree with these Terms, you must not agree with these Terms, you must not access or use any of our Services.

c.   Modifications to Terms: We reserve the right to modify, amend, or replace these Terms at any time at our solethe discretion. Any changes will be effective immediately upon posting on our website or through other communication channels. Your continued use of our Services after any modifications constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically for any updates.

2.     Definitions

In these Terms, unless context otherwise requires, the following terms shall have the meanings set out below:

a.      “Account” means a user account registered with Solus to access and use the Services.

b.     “Applicable Laws” means all laws, regulations, rules, legal obligations that apply to your use of the Services.

c.      “Intellectual Property Rights” means patents, trademarks, service marks, copyrights, and other intellectual property rights.

d.     “Services” means the Solus website, mobile app, API, trading platform and any other Services provided by Solus.

e.      “Margin” means the collateral required to open and maintain a derivatives position, typically expressed as a percentage of the position's notional value.

f.      “Leverage” means the ratio of the notional value of a derivatives position to the margin required to open and maintain the position.

g.     “Liquidation” means the automatic closure of a derivatives position by the platform when the margin level falls below the required threshold, to prevent further losses.

h.     “Perpetual Futures” means a type of derivatives contract that mimics a margin-based spot market, but without expiry or settlement date, allowing positions to be held indefinitely.

i.       “Options” means derivatives contract that gives the holder the right, but not the obligation, to buy (call option) or sell (put option) an underlying asset at a predetermined price (strike price) on or before a specific date (expiry).

j.       “Solus”, “we”, “us”, or “our” refers to Solus and its affiliates.

k.     “User”, “you”, or “your” refers to any individual or entity accessing or using our Services.

3.     Eligibility

a.      Eligibility Criteria:  To be eligible to register for an Account and use our Services, you must:

●      Be at least 18 years old and have the legal capacity to enter into these Terms;

●      Not be a resident of, or located in, any jurisdiction where the use of our Services is prohibited or restricted;

●      Provide accurate, current, and complete information during the Account registration process;

●      Maintain the security and confidentiality of your Account credentials;

●      Comply with these Terms and all Applicable laws.

b.     Amending Eligibility Criteria: We reserve the right to amend the eligibility criteria at any time at our Sole discretion. We will provide reasonable notice of any changes, but in some cases, immediate changes, but in some cases, immediate changes may be necessary to comply with Applicable Laws or to protect our interests and those of our users.

4.     Account Registration

a.      Account Opening Process: To open an Account, you must complete the registration process by providing the required information, such as your name, email address, and password. You may also need to provide additional information or documentation to verify your identity, as described in sections 4.b and 4.c. 

b.     Identity Verification: To comply with legal and regulatory requirements, we may require you to provide additional information or documents to verify your identity. This may include, but is not limited to, a government issued ID, proof of address, and source of funds. We reserve the right to request further information at any time to maintain our KYC (Know Your Customer) and AML (Anti-Money Laundering) compliance.

c.      Enhanced Due Diligence: In some cases, we may require additional information or perform enhanced due diligence on your Account. This may involve requesting more detailed documentation, conducting background checks, or requiring face-to-face meetings with our representatives. We reserve the right to delay or restrict access to your Account until the enhanced due diligence process is complete. 

d.     Account Responsibility: You are Solely responsible for maintaining the confidentiality and security of your Account credentials, and for all activities that occur under your Account. You must notify us immediately if you suspect any unauthorized access or use of your Account. We shall not be liable for loss or damage arising from your failure to comply with this obligation. 

e.      Access to Account: You may access your Account through the Solus website, mobile app, or API, using your registered email address and password. You must ensure that your Account access information is kept confidential and secure at all times. We may implement additional security measures, such as two factor authentication, to protect your Account.

5.     Services

a.      Description of Services: Solus provides a secure, decentralized platform for crypto derivatives trading. Our Services include the Solus website, mobile app, API, and trading platform, which allow users to trade various crypto derivatives products, such as perpetual futures and options, with up to 100x leverage. 

b.     Live Now Product: Our ‘Live Now’ product enables users to predict whether the price of a digital asset will go higher or lower than the current price within a one-minute timeframe, using derivatives contracts. This innovative product offers the potential for users to generate returns of over 70% in just one minute.

c.      Futures Perpetuals: Solus offers simplified crypto perpetual futures, providing users with the benefits of futures trading combined with the flexibility of non-expiring contracts. Our perpetual futures allow users to easily speculate on the price movements of various digital assets without the complexity of traditional futures contracts, using leveraged derivatives positions.

d.     Key Benefits: Trading on Solus offers several key benefits, including high liquidity across a wide range of trading pairs, advanced market analytics to support informed trading decisions, and a responsive, user friendly interface accessible via web and mobile platforms. 

e.      Account Types and Features: Solus may offer different account types with varying features, privileges and requirements. The specific types of accounts and their associated features will be described on the Solus website and may be updated from time to time at our discretion.

f.      Intra-Group Services: Some of the Services provided to you may be performed by Solus affiliated entities. By using our Services, you acknowledge and consent to such intra group service provisions. 

g.     Changes to Services: We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time without prior notice. We shall not be liable for any loss or inconvenience caused by such changes.

6.     User Onboarding

a.      Sign Up Process: To begin trading on Solus, you must first sign up for an Account by providing your email address and choosing a secure password. Alternatively you may sign up using Google Account for a streamlined, password less experience. If you register using your email, you will need to verify your email by entering One-Time-Password (OTP) sent to your registered email address. During the signup process, you may enter a referral code if one has been provided to you.

b.     Making the First Deposit: To start trading and receiving payouts on Solus, you must fund your Account. You can make your first deposit using either PayPal or USDT via wallet transfer. PayPal allows you to deposit funds using credit/debit cards, bank transfers, or your PayPal balance, with no fees other than the standard PayPal currency conversion rates. To deposit USDT, you must transfer the tokens to your unique supported wallet or exchange.

7.     Deposits, Withdrawals, and Transfers

a.      Margin Deposits: To open and maintain derivatives positions on Solus, you must deposit sufficient funds to meet the required margin levels. Margin deposits can be made using the supported cryptocurrencies or stablecoins, as specified on the Solus platform. The minimum margin deposit amounts and accepted deposit methods may vary depending on the derivatives product and prevailing market conditions.

b.     Withdrawal of Excess Funds: You may withdraw any funds in excess of the required margin for your open positions, subject to the minimum withdrawal amounts and applicable fees. Withdrawal requests will be processed after deducting any outstanding fees or obligations related to your derivatives positions. Solus reserves the right to delay or cancel withdrawal requests if they would result in the insufficient margin for your open positions.

c.      Inter Account Transfers: Solus may allow you to transfer funds between your different sub-accounts (e..g., futures, options) for the purpose of managing your margin requirements and risk exposure. Inter account transfers are subject to the specific rules and limitations outlined in the Trading Rules and on the Solus platform.

d.     Deposit and Withdrawal Methods: Solus supports various deposit and withdrawal methods for margin purposes, which may include cryptocurrency transfers, and other methods as specified in the platform. The available methods, minimum amounts and processing times may vary depending on the jurisdiction, derivatives product, and market conditions.

e.      Fees and Processing Times: Margin deposits and withdrawals may be subject to fees, which will be clearly displayed on the Solus platform and deducted from your account balance. Processing times for deposits and withdrawals may vary depending on the chosen method, network congestion and other factors. Solus will make reasonable efforts to process transactions promptly but does not guarantee specific processing times.

f.      Margin Top-up and Liquidation: You are responsible for monitoring your margin levels and ensuring that you maintain sufficient margin for your open derivatives positions. If your margin level falls below the required threshold, Solus may issue a margin call requiring you to deposit additional funds. Failure to top-up your margin within the specified timeframe may result in the liquidation of your positions as described in the Section 8 (Trading on Solus Platform).

8.     Trading on SolusPlatform

a.      Trading Rules: All trades executed on the Solus platform are subject to our Trading Rules, which form an integral part of these Terms and Conditions. The Trading Rules cover aspects such as margin requirements, liquidation procedures, position limits, and other derivatives trading-specific regulations. You must familiarize yourself with the Trading Rules and agree to be bound by them when using our Services.

b.     Order Types and Placement: Solus supports various order types commonly used in derivatives trading, such as market orders, limit orders, and stop orders. The available order types and their functionalities will be described in the Trading Rules and on the Solus platform. You are responsible for understanding the characteristics and risks associated with each order type before placing a trade.

c.      Order Execution and Settlement: Orders placed on the Solus platform will be executed based on the prevailing market conditions and in accordance with Solus. Executed trades will be settled in accordance with the Settlement Procedures outlined in section 9.c.

d.     Margin Requirements and Leverage: Trading crypto derivatives on Solus involves the use of leverage, which can amplify both gains and losses. You must maintain sufficient margin in your Account to support your open derivatives positions. The margin requirements and available leverage ratios will be specified in the Trading Rules and on the Solus platform. Solus reserves the right to change the margin requirements and leverage limits at any time without prior notice.

e.      Position Management and Liquidation: You are responsible for managing your open derivatives positions and ensuring that you maintain sufficient margin to avoid liquidation. If the value of your Account falls below the required margin level, your positions may be automatically liquidated to prevent further losses. The specific liquidation procedures and thresholds will be described in the Trading Rules. Solus reserves the right to liquidate your positions without prior notice in case of insufficient margin or extreme market conditions.

f.      Trading Limits and Restrictions: Solus may impose trading limits and restrictions on your Account, such as maximum position sizes, withdrawal limits, or other risk management controls. These limits and restrictions may be adjusted at our discretion and will be communicated to you through the Solus platform or other channels.

g.     Market Data and Pricing: Solus strives to provide accurate and reliable market data and pricing information. However, we do not guarantee the accuracy, completeness, or timeliness of such data. You acknowledge that the market data provided may be subject to delays, errors, or interruptions.

h.     Platform Availability and Maintenance: We will make reasonable efforts to ensure the continuous availability and proper functioning of the Solus platform. However, we do not guarantee uninterrupted access and reserve the right to suspend or terminate the platform for maintenance, upgrades, or other reasons.

i.       Emergency Procedures and Circuit Breakers: In the event of extreme market volatility or other emergencies, Solus may activate circuit breakers or take other measures to maintain orderly trading conditions and protect the interests of our users. The specific procedures and thresholds for such actions will be described in the Trading Rules.

9.     Fees, Commissions, and Settlement

a.      Trading Fees: Solus charges trading fees on executed trades. The current fee schedule will be available on our website and may be updated from time to time at our discretion. Trading fees will be deducted from your Account balance at the time of trade execution.

b.     Commission Structure: Solus may offer a commission or rebate program to incentivize user participation and loyalty. The details of any such program, including the eligibility criteria and commission rates, will be described on our website and may be modified at our discretion.

c.      Settlement Procedures: Trades executed on the Solus platform will be settled in accordance with our Settlement Procedures. The settlement process typically involves the exchange of the traded assets between the counterparties and the updating of Account balances. Settlement times may vary depending on the traded assets and market conditions.

d.     Payment Terms and Obligations: You agree to pay all fees, charges, and other amounts due in connection with your use of our Services. Solus reserves the right to deduct any outstanding amounts from your Account balance or any linked payment method. You are responsible for maintaining sufficient funds in your Account to cover all trading activities and associated fees.

10.  Account Security

a.      User Responsibility: You are Solely responsible for maintaining the confidentiality and security of your Account credentials, including your email address, password, and any other login information. You must take all necessary precautions to prevent unauthorized access to your Account, such as using strong passwords, enabling two-factor authentication, and keeping your login information private. Solus shall not be liable for any loss or damage arising from your failure to safeguard your Account credentials.

b.     Security Measures: Solus implements various security measures to protect user Accounts and assets, such as encryption, firewalls, and secure socket layer (SSL) technology. However, no security system is perfect, and you acknowledge that there is always a risk of unauthorized access or theft of your Account or assets. You agree to cooperate with Solus in implementing any additional security measures that we deem necessary.

c.      Reporting Unauthorized Access: If you suspect or become aware of any unauthorized access to your Account, you must notify Solus immediately via the contact information provided on our website. You must provide all necessary information and assistance to help us investigate and resolve the issue. Solus shall not be liable for any loss or damage incurred before you report the unauthorized access to us.

d.     Account Restriction and Recovery: In the event of suspected unauthorized access or other security threats, Solus reserves the right to restrict access to your Account temporarily. We may require you to provide additional information or documentation to verify your identity and ownership of the Account before restoring access. Solus shall not be liable for any loss or inconvenience caused by such Account restrictions or recovery procedures.

11.  Suspension, Termination and Account Closure

a.      Suspension and Restriction of Services: Solus reserves the right to suspend, restrict, or terminate your access to our Services at any time and for any reason, including but not limited to:

●      Violation of these Terms and Conditions or any applicable laws and regulations,

●      Suspected fraudulent, abusive, or illegal activity,

●      Failure to maintain sufficient margin or meet payment obligations,

●      Potential security threats or risks to our platform or other users, and

●      Orders from law enforcement, regulatory authorities, or courts.

We will make reasonable efforts to notify you of any such actions, but we may not be able to do so in certain circumstances, such as when prohibited by law.

b.     Account Closure by User: You may close your Solus Account at any time by following the account closure procedures outlined on our website. Before closing your Account, you must ensure that all open positions are closed, and any remaining balances are withdrawn. Solus reserves the right to delay or restrict Account closure if there are any outstanding issues, such as open disputes or ongoing investigations.

c.      Account Closure by Solus: Solus may close your Account at any time and for any reason, including but not limited to the grounds for suspension and restriction of Services outlined in section 11.1. We will make reasonable efforts to notify you before closing your Account, but we may not be able to do so in certain circumstances, such as when prohibited by law or when immediate action is necessary to protect our interests or those of our users.

d.     Effect of Account Closure: Upon closure of your Solus Account, you will no longer have access to our Services, and any remaining balances will be returned to you, subject to any applicable fees and withdrawal restrictions. Solus shall not be liable for any loss or inconvenience caused by Account closure, including any impact on your trading positions or strategies.

e.      Dormant Accounts: If your Solus Account remains inactive for an extended period, as defined in our Dormant Account Policy, we reserve the right to designate your Account as dormant. Dormant Accounts may be subject to additional fees, restrictions, or closure. We will make reasonable efforts to notify you before designating your Account as dormant and provide instructions on how to reactivate your Account.

12.  Risk Disclosure and Acknowledgment

a.      Trading Risks: Trading crypto derivatives involves significant risks, including but not limited to: high leverage amplifying potential losses, rapid price fluctuations, margin calls, and the risk of rapid liquidation. You acknowledge that you fully understand and accept these risks and that you are Solely responsible for any losses incurred as a result of your derivatives trading activities on Solus.

b.     Technology and Platform Risks: The Solus platform relies on complex technology, including blockchain, smart contracts, and cryptographic systems. You acknowledge that there are inherent risks associated with such technology, including but not limited to:

●            Software bugs, glitches, and vulnerabilities

●            Network disruptions and failures

●            Hacking, cyber-attacks, and other security breaches

●            Forks, airdrops, and other blockchain events

Solus shall not be liable for any losses or damages arising from such technology risks, and you accept that the use of our platform is at your own risk.

c.      Regulatory and Legal Risks: The regulatory and legal landscape for crypto derivatives trading is rapidly evolving and may be subject to change at any time. You acknowledge that changes in laws, regulations, or enforcement actions may impact your ability to use our Services or the value of your assets. Solus shall not be liable for any losses or damages arising from such regulatory and legal risks, and you agree to stay informed about and comply with all applicable laws and regulations.

d.     Derivatives Trading Risks: Crypto derivatives trading carries unique risks due to factors such as the high volatility of underlying assets, the complexity of derivatives products, and the potential for significant losses in short timeframes. You should carefully consider your financial situation, trading experience, and risk tolerance before engaging in crypto derivatives trading. Solus does not provide any investment, financial, or tax advice, and you are Solely responsible for assessing the suitability of derivatives trading for your individual circumstances.

13.  Prohibited Use and Activities

You agree not to engage in any of the following prohibited activities while using our Services:

a.   Violating these Terms and Conditions, our Trading Rules, or any applicable laws and regulations

b.   Engaging in any fraudulent, deceptive, or manipulative activities, including:

●    Submitting false or misleading information to Solus or other users,

●    Engaging in wash trading, spoofing, layering, or other disruptive trading practices, and

●    Manipulating or attempting to manipulate the prices or trading volumes of derivatives contracts.

c.   Attempting to gain unauthorized access to Solus’s systems, servers, or other users’ accounts

d.   Introducing viruses, malware, or other malicious code to the Solus platform

e.   Using the Solus platform for money laundering, terrorist financing, or any other illegal activities

f.    Reverse engineering, decompiling, or attempting to derive the source code of the Solus platform

g.   Engaging in any activity that may interfere with or disrupt the functioning of the Solus platform

h.   Using the Solus platform to infringe on the intellectual property rights or privacy of others

i.    Attempting to circumvent any security measures or restrictions imposed by Solus

Solus reserves the right to investigate any suspected violations of these Terms and Conditions and take appropriate actions, including but not limited to suspending or terminating your account, freezing your funds, and reporting to relevant authorities. By using our Services, you agree to cooperate fully with any such investigations and provide Solus with any information or assistance requested.

14.  User Representations and Warranties

By using our Services, you represent and warrant that:

a.      You are at least 18 years old and have the legal capacity to enter into these Terms and Conditions.

b.     You are not a resident of, or located in, any jurisdiction where the use of our Services is prohibited or restricted.

c.      You have provided accurate, current, and complete information during the Account registration process.

d.     You will maintain the security and confidentiality of your Account credentials and promptly notify Solus of any unauthorized access.

e.      You will comply with these Terms and Conditions and all applicable laws and regulations.

f.      You will not engage in any prohibited use or activities, as outlined in section 13.

g.     You fully understand and accept the risks associated with trading crypto derivatives, as outlined in section 12.

h.     You are Solely responsible for your trading activities and any resulting losses or damages.

Any breach of these representations and warranties may result in the suspension, restriction, or termination of your access to our Services.

15.  Solus’s Rights, Limitations and Disclaimers

a.      Intellectual Property Rights: All intellectual property rights in the Solus platform, website, and Services, including but not limited to trademarks, logos, copyrights, and patents, are owned by or licensed to Solus. You agree not to copy, modify, distribute, or create derivative works based on our intellectual property without our prior written consent.

b.     Third-Party Content: The Solus platform may contain links to third-party websites, services, or content. Solus does not endorse, control, or assume any responsibility for such third-party content. You access and use third-party content at your own risk and subject to the terms and conditions of the respective third parties.

c.      Limitation of Liability: To the maximum extent permitted by applicable law, Solus, its affiliates, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, or opportunities, arising out of or in connection with your use of our derivatives trading Services, even if advised of the possibility of such damages. This includes losses due to liquidation, market volatility, system failures, or any other risks associated with crypto derivatives trading.

d.     Disclaimer of Warranties: The Solus derivatives trading platform and Services are provided on an ‘as is’ and ‘as available’ basis, without any warranties of any kind, whether express or implied. Solus does not warrant that the platform or Services will be uninterrupted, error-free, or free from defects. Solus disclaims any responsibility for the suitability of derivatives products for individual users, and you acknowledge that crypto derivatives trading may not be appropriate for all investors.

e.      Force Majeure Events: Solus shall not be liable for any failure or delay in performance of our obligations under these Terms and Conditions arising from any cause beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, strikes, or internet or communication failures. In such events, our obligations shall be suspended for the duration of the force majeure event, and we will make reasonable efforts to resume performance as soon as possible.

16.  Indemnification

You agree to indemnify, defend, and hold harmless Solus, its affiliates, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney fees) arising out of or in connection with:

a.      Your breach of these Terms and conditions or any applicable laws and regulations.

b.     Your use of our Services, including any trading activities and resulting losses.

c.      Any content or information you provide to Solus or other users including any false, inaccurate, or misleading statements.

d.     Your violation of the rights of any third party, including intellectual property rights Solus reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with us in asserting any available defenses.

17.  Privacy and Data Protection

  1. Privacy Policy: For detailed information on how we collect, use, disclose, and protect your personal data, please refer to our Privacy Policy, which is incorporated into these Terms and Conditions by reference.

  2. Personal Data Collection and Use: We collect personal data necessary to provide and improve our Services, comply with legal obligations, and protect our rights and interests. This includes using your data to create and manage your Solus Account, process transactions, communicate with you, detect fraudulent activities, and comply with legal requirements.

  3. Sharing of Information: We may share your personal data with trusted third parties to operate our platform and provide Services. We may also share data with law enforcement or other third parties when required by law or to protect our rights. We will not sell your personal data to third parties for marketing without your explicit consent.

  4. Data Security Measures: We implement reasonable security measures to protect your personal data, including encryption, access controls, and secure storage. However, no security system is perfect, and you are responsible for keeping your Account credentials confidential.

  5. User Rights: You have certain rights regarding your personal data, such as the right to access, correct, delete, or restrict processing of your data. To exercise these rights, please contact us using the information provided in our Privacy Policy.

18.  AML/CFT and Restricted Jurisdictions

AML/CFT Compliance: Solus is committed to complying with all applicable anti money laundering (AML), counter-terrorist financing (CFT), and sanctions laws and regulations. Our AML/CFT Policy, which is incorporated into these Terms and Conditions by reference, outlines our procedures for preventing, detecting, and reporting suspicious activities. By using our Services, you agree to comply with our AML/CFT Policy and all applicable AML/CFT laws and regulations.  Solus does not offer its Services to users located in certain Restricted Jurisdiction Policy, which is incorporated into these Terms and Conditions by reference. By using our Services, you represent and warrant that you are not located in, or a resident of, any of the restricted jurisdiction listed in our Restricted Jurisdiction Policy.

19.  Communications and Notices

Solus may communicate with you via email, SMS, push notifications, or other electronic means. By using our Services, you consent to receive communications from us electronically and agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing. You may contact us using the information provided on our website. All notices and communications to Solus must be in writing and in English. We may update our contact information from time to time, and any change will be posted on our website.

20.  Changes to Terms and Conditions

Solus reserves the right to modify, amend, or replace these Terms and Conditions at any time and in our Sole discretion. Any changes will be effective immediately upon posting the revised Terms and Conditions on our website or providing notice to you through other means. Your continued use of our Services after any changes constitutes your acceptance of the revised Terms and Conditions. We encourage you to review these Terms and Conditions periodically for any updates or changes. If you do not agree with any modifications, you must stop using our Services and close your Solus Account.

21.  Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of Panama, without regard to its conflict of law provisions. Any dispute arising out of or in connection with these Terms and Conditions, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration under the rules of the Panama Arbitration Center, which rules are deemed to be incorporated by reference into this clause. The seat of the arbitration shall be Panama City, Panama. The language of the arbitration shall be English.

Notwithstanding the foregoing, Solus reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or prevent any imminent harm to its interests.

22.  Dispute Resolution

a.      Informal Dispute Resolution: If you have any disputes, claims, or concerns arising out of or relating to these Terms and Conditions, our Services, or your use of the Solus platform, you agree to first attempt to resolve the issue informally by contacting us using the information provided in the “Contact Information and Support” section below. We will make reasonable efforts to address your concerns and resolve the dispute amicably through good faith discussions.

b.     Arbitration: If the dispute cannot be resolved informally within 60 days from the date of the initial notice, you agree that any unresolved dispute, claim, or controversy arising out of or relating to these Terms and Conditions, our Services, or your use of the Solus platform shall be referred to and finally resolved by binding arbitration administered by the International Chamber of Commerce (ICC) in accordance with its arbitration rules in effect at the time of the arbitration. The arbitration shall be conducted by a single arbitrator appointed in accordance with the ICC rules. The seat of the arbitration shall be Panama City, Panama, and the language of the arbitration shall be English. The arbitrator shall have expertise in the subject matter of the dispute and shall be impartial and independent of both parties. The arbitrator's decision shall be final, binding, and enforceable in any court of competent jurisdiction. The arbitrator shall have the authority to grant any remedy or relief that would be available in a court of law, including but not limited to injunctive relief, specific performance, and monetary damages. You and Solus agree that any arbitration proceedings shall be conducted on an individual basis and not as a class, consolidated, or representative action. You expressly waive any right to file a class action or seek relief on a class basis. The costs of the arbitration, including the arbitrator’s fees and expenses, shall be shared equally between you and Solus, unless the arbitrator determines that a different allocation is warranted based on the circumstances of the case.

23.  Miscellaneous Provisions

a.      Entire Agreement: These Terms and Conditions, together with any documents incorporated by reference, constitute the entire agreement between you and Solus with respect to your use of our Services and supersede all prior or contemporaneous communications and proposals, whether oral or written.

b.     Severability: If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. In such cases, the invalid, illegal, or unenforceable provision shall be modified or replaced to reflect the original intent of the provision as closely as possible.

c.      Waiver: Our failure to enforce any right or provision of these Terms and Conditions shall not be deemed a waiver of such right or provision. Any waiver of any provision of these Terms and Conditions must be made in writing and signed by an authorized representative of Solus.

d.     Assignment: You may not assign or transfer any of your rights or obligations under these Terms and Conditions without our prior written consent. Solus may assign or transfer its rights and obligations under these Terms and Conditions to any third party without your consent.

e.      Survival: Any provisions of these Terms and Conditions that by their nature should survive termination shall survive termination, including but not limited to provisions related to intellectual property rights, disclaimers, limitations of liability, indemnification, governing law, and dispute resolution.

f.      Governing Law: These Terms and Conditions and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of Panama, without regard to its conflict of law provisions.

g.     Jurisdiction: Subject to the arbitration provisions above, you and Solus agree that the courts of Panama shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms and Conditions or their subject matter or formation.

h.     Language: These Terms and Conditions are drafted in the English language. In the event of a conflict between the English version and any translated version, the English version shall prevail.
